Introduction

Welcome to the Women in Biz Network Business Directory (“Directory”). By accessing or using the Directory, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use the Directory.

1. Acceptance of Terms

By accessing or using the Directory, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Directory on behalf of an organization, you agree to these Terms on behalf of that organization and confirm that you have the authority to bind the organization to these Terms.

2. User Accounts

To access certain features of the Directory, you may need to create an account. You agree to:

  • Provide accurate and complete information during the registration process.
  • Keep your account information up-to-date.
  • Maintain the confidentiality of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

3. Use of the Directory

You agree to use the Directory in compliance with all applicable laws and regulations. You must not:

  • Use the Directory for any unlawful purpose or in any way that could harm or disable the Directory.
  • Use the Directory to distribute spam, viruses, or other harmful content.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to any part of the Directory or its related systems or networks.

4. Content

You retain ownership of any content you submit to the Directory (“User Content”). By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your User Content in connection with the Directory.

You represent and warrant that:

  • You own or have the necessary rights to submit your User Content.
  • Your User Content does not infringe any third party’s intellectual property rights or violate any laws.

We reserve the right to remove any User Content that we believe violates these Terms or is otherwise objectionable.

5. Intellectual Property

All content and materials in the Directory, including but not limited to text, graphics, logos, and software, are the property of Women in Biz Network or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of our intellectual property without our prior written consent.

6. Third-Party Links

The Directory may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of these third-party sites. You access these links at your own risk.

7. Limitation of Liability

To the fullest extent permitted by law, Women in Biz Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Directory.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Directory by any third party.

8. Indemnification

You agree to indemnify and hold harmless Women in Biz Network, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Directory, your User Content, or your violation of these Terms.

9. Termination

We may terminate or suspend your access to the Directory at any time, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Directory will immediately cease.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on the Directory. Your continued use of the Directory after the changes take effect constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada to resolve any dispute arising from these Terms or the use of the Directory.
